The fund formation team at Cole Schotz organizes and structures private equity, venture capital, real estate, mezzanine, asset-based funds, fund of funds, and similar types of investment vehicles for mid-market sponsors. This often includes handling investment adviser registration matters and executive compensation arrangements for the sponsor’s employees and agents. Once a fund has been formed, we handle fund investments, exits from such investments, and ongoing operational and compliance-related matters.
We also represent limited partners, high net worth, and institutional investors in connection with their investments in private investment funds, as well as with co-investments and “secondary” transactions.
We provide our clients with a cohesive, multi-disciplinary approach to their business, tax and investment goals. We do this by leveraging the experience of our attorneys who are deeply knowledgeable in the areas of tax, labor, executive compensation, and real estate law. Additionally, our experience in securities regulation matters allows our clients to successfully navigate the increasingly regulated private investment fund space. Our experience as both in-house counsel and outside counsel to private equity firms and real estate investment groups allows us to offer practical insights that make a difference at each stage of a fund’s lifecycle. To the extent offshore fund structures are involved, we have longstanding relationships with law firms based in several prominent offshore financial centers.
