Jennifer L. Horowitz is Co-Chair of the firm’s Corporate Department. Jennifer has a broad corporate, finance and securities practice representing clients in transactions as well as serving as their general counsel. Jennifer represents clients in business, corporate, mergers/acquisitions, governance, formation, franchise and securities matters and compliance. She represents clients in all aspects of structuring and effecting transactions, including securities issuances and offerings, finance and loan transactions, investments, strategic alliances, joint ventures, mergers, acquisitions and dispositions.  Her clients include private and public companies, start-up and mature businesses, lenders, financial institutions and investors across a wide array of industries.

Recent transactions include representing:

  • Consulting services company in connection with an investment by a private equity firm, and acquisitions;
  • Sports drink manufacturer in multiple private placements and significant celebrity investments;
  • Merchandising and manufacturing company in various joint ventures;
  • Food manufacturer and distributor in a revolving and term loan facility;
  • Canadian pharmaceutical company in a joint venture in the United States;
  • Various real estate developers in the acquisition of property and related equity private placement and debt financing;
  • US Biotechnology Company in the strategic acquisition of a German company;
  • Multimedia company in a private placement of preferred stock;
  • Consulting services company in connection with strategic acquisitions and a loan facility;
  • A foreign quick serve restaurant franchisor in the expansion of its operations to the US, including corporate, franchise and governance matters;
  • Brewery in connection in a private placement and governance matters;
  • Bottled water company in its formation, governance structure, product launch and various investments, financings and securities offerings;
  • Online restaurant classified site in connection with a private placement and joint venture;
  • ATM manufacturer and provider in an equity redemption;
  • Airport surveillance and air defense company, in its merger into a public Swedish military defense and security company;
  • Various restaurant and fitness franchisees in the acquisition of franchises, operational and governance matters and often related financing;
  • An equity and debt investment in a medical equipment company;
  • Consumer retail products company in the sale of substantially all of its assets; 
  • Internet music provider in a private placement of debt and equity securities; and
  • Insurance brokerage and financial advisory firm, in a loan facility.

Prior to joining Cole Schotz, Jennifer practiced at Cahill Gordon & Reindel LLP in New York in the areas of corporate, securities and mergers and acquisitions.

Jennifer earned her B.S., cum laude, in 1993 from Syracuse University's S.I. Newhouse School of Communications and her J.D., cum laude, in 1996 from Brooklyn Law School.
