OVERVIEW
Marc P. Press is a Member in the firm’s Corporate, Finance & Business Transactions group. He has over 30 years of experience in the areas of corporate governance, securities offerings, corporate finance and mergers and acquisitions. Marc guides both issuers and early stage investors through the complexities of debt and equity offerings. He also routinely counsels lenders and borrowers on credit facilities, including secured, asset-based and unsecured facilities; and both buyers and sellers in connection with merger and acquisition transactions. Marc’s practice also includes expertise in the formation and marketing of alternative investment funds.
An early practitioner of cannabis law and Co-Chair of the firm’s Cannabis practice, Marc advises both plant-touching and ancillary businesses in connection with various corporate matters. Marc has immersed himself in this emerging industry. He is a proponent for the legalization of cannabis and regularly presents on the legal challenges and opportunities businesses face while navigating New Jersey and New York’s evolving laws. Members of the cannabis community turn to Marc for counsel on entity selection and formation, management and capital structures, raising capital through privately issued equity and debt and merger and consolidation transactions. He also advises individual and private equity investors in existing and early stage cannabis companies. He is a member of New Jersey CannaBusiness Association and CannaGather NJ and NY.
Marc is also the chair of the firm’s Blockchain Technology and Digital Currency group, Marc regularly authors and speaks on topics covering the basics of Blockchain, distributed ledger technology and cryptocurrencies.
Marc’s recent representations include:
- advising startup and early stage companies in numerous industries, including medical device and software companies, on formation issues and raising capital through private placement transactions and angel and venture capital investment rounds
- advising angel and venture capital funds on investments in startup and early stage companies advising sponsors on the formation of real estate, private equity and hedge funds, securities and others regulatory matters, and the private offering of their securities
- representing investors with respect to the formation and investment in state registered medical cannabis cultivation and dispensary facilities
- representing a multinational document solutions company in its acquisition of distributors of multi-function printers and related products throughout the United States
- representing buyers and sellers of companies in numerous industries in merger and acquisitions, including distressed and insolvent companies, in both bankruptcy and out of court transactions
- representing companies registered with the SEC with respect to their annual and other SEC
- periodic reporting allegations
- representing lenders and debtors with respect to debtor-in-possession financing transactions
Marc began his career at a prominent law firm in New York City, where he focused on public and private offerings of securities and mergers and acquisitions. He also served as bank counsel for a New Jersey state chartered commercial bank, where he was responsible for all legal matters of the bank.
Marc earned his J.D. from Duke Law School and his B.A. from the University of Rochester.
